Engagement of our managed IT, cybersecurity, or AI services requires execution of a separate service agreement. These Terms supplement but do not replace any executed service agreement. In the event of a conflict between these Terms and a service agreement, the service agreement shall prevail.

In the course of providing Services, both parties may exchange confidential information. Each party agrees to:
- Protect the other party's confidential information with at least the same degree of care used for its own confidential information
- Use confidential information only for the purposes contemplated by the service agreement
- Not disclose confidential information to third parties without prior written consent, except as required by law
6. Limitation of Liability
To the maximum extent permitted by applicable law:
- CyberWave Digital shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of our website or Services
- Our total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by you to CyberWave Digital in the twelve (12) months preceding the event giving rise to the claim
- We do not warrant that our website will be uninterrupted, error-free, or free of harmful components

You agree to indemnify and hold harmless CyberWave Digital, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms or your use of our website or Services.

14. SMS and Text Messaging Terms
By providing your mobile phone number to CyberWave Digital and opting in to receive SMS/MMS communications, you agree to the following terms governing our text messaging program. We use RingCentral as our SMS communications platform.
Program Description
CyberWave Digital may send SMS/MMS messages related to: service updates and alerts, appointment and project reminders, IT support and incident notifications, and general business communications relevant to your account or services with us.
Consent
By providing your mobile number and expressly consenting — whether via our contact form, signed agreement, or verbal authorization — you agree to receive recurring automated and non-automated text messages from CyberWave Digital at the number provided. Consent is not a condition of purchasing any goods or services.
Message Frequency
Message frequency varies. You may receive messages at any time based on service activity, appointments, or account updates. We will not send unsolicited promotional messages.
Message and Data Rates
Message and data rates may apply. You are responsible for any fees charged by your mobile carrier for receiving SMS messages. CyberWave Digital is not responsible for any fees your carrier may charge.
Opt-Out
You may unsubscribe at any time by replying STOP to any message from us. After opting out, you will receive a single confirmation message confirming your unsubscription. No further messages will be sent unless you provide new consent.

No Third-Party Sharing of Mobile Data
Mobile opt-in data, phone numbers, and SMS consent information will not be sold, rented, or shared with third parties or affiliates for their marketing or promotional purposes.

SMS messaging is available on most major U.S. carriers. CyberWave Digital and its messaging providers are not liable for delayed or undelivered messages. Carrier support is not guaranteed for all networks.
